Source Energy Services Obtains Liquidity Support From its Noteholders and Lenders

Source Energy Services Ltd. (together with its affiliates, “Source”) is pleased to announce that it has received support from its noteholders and lenders in managing through potential disruptions caused by the COVID-19 global pandemic and the decline in crude oil prices.
This liquidity support will better position Source to deal with the volatility created by these events and similar events that may occur in the future. With this endorsement, we are confident that we will be in a strong position to deal with the unusual volatility that we’re experiencing in the markets.”
Source has entered into a Support and Interest Deferral Agreement with noteholders holding approximately 72% of Source’s senior secured notes due December 15, 2021 (the “Notes”). Under the agreement, the supporting noteholders have agreed to defer the payment of the June 15, 2020 interest payment on the Notes for a period of 60 days. To give effect to the deferral, the Support and Interest Deferral Agreement amends the Notes indenture by extending the grace period in respect of the interest payment to 60 days.
In addition to the Support and Interest Deferral Agreement, the syndicate of bank lenders under Source’s revolving credit facility (the “Credit Facility”) has agreed to make certain amendments to the Credit Facility and to waive the application of the fixed coverage ratio in the credit agreement until August 13, 2020.
The support from our noteholders and lenders will assist Source’s efforts to navigate through the COVID19-driven precipitous drop in completions activity in the Western Canadian Sedimentary Basin and will provide Source the short term liquidity required as completion activity resumes.
